Job Purpose:

  • To safeguard and protect the interest and rights of Majid Al Futtaim Ventures (MAFV), through the preparation and review of agreements, and other writings, documenting the transactions proposed to be entered into by operating divisions; and assisting operating managers in negotiating contractual  terms and conditions.
  • To follow up on the JV implementation and assist in legal queries advise on JV protagonists legal requirements
  • To help in holding and maintaining a comprehensive record of correspondence, negotiations, and minutes of meetings.


Key Tasks:

  1. To determine in consultation with Senior Legal Counsel and General Counsel the appropriate legal structure for establishing and operating JVs, consolidating MAFV assets portfolio.
  2. To provide legal services to new businesses and to the various operating departments within MAFV and advise on the legal implementation of various business activities and merger/acquisition transactions.
  3. To help on contracts relating to MAFV and its operating companies to include consultancy, leasing, banking, retail and construction contracts and ensure that at all the times the best interests of the Group are protected.
  4. Review of draft agreements received from outside parties intending to enter into business relationship with MAFV.
  5. Participate in negotiations with outside parties along with operating managers for concluding business transactions.
  6. Assist managers in understanding legal issues of their business transactions and drafting suitable clauses, and guidance.
  7. Advise operating managers on MAFV’s legal rights and the legal framework of doing business in a given set of circumstances.
  8. Liaise with external lawyers and assist in the preparation of legal opinion and specific advice.

To develop and ensure the implementation of corporate performance measures (scorecards), conducting strategy mapping in order to identify necessary critical success factors and correlate these into corporate and departmental key performance indicators (KPIs) and measures.

Key Result Areas
 
Corporate Performance Measures & Scorecards:

  • Develop – in conjunction with the Manager Corporate Planning & Integration - corporate scorecards to measure and track performance, in alignment with the overall strategy. 
  • Cascade the corporate scorecard into departmental scorecard, working closely with the Manager Corporate Planning & Integration and departmental managers in finalizing the scorecard, measures and targets in alignment with the strategy.
  • Review the scorecards to reflect any changes to the bank’s strategy.
  • Corporate and departmental scorecards are in place and are aligned to the bank’s strategy.

Strategy Mapping:

  • Conduct strategy mapping in order to map the organizational strategy into the corporate KPIs while identifying the necessary critical success factors to achieve the organizational vision and strategy.
  • Corporate KPIs in line with the strategy of the bank.

Performance Targets and KPI Development:

  • Assist the Manager Corporate Planning & Integration in the provision of guidance in establishing performance targets and KPIs for various departments/positions across Bank in order to ensure alignment with the corporate KPIs and business direction.
  • Consolidate approved KPIs (ensure perspective segregation – financial, customer, internal processes and learning and innovation) and ensure dissemination to senior management in order to systematically measure and reward the performance of departments/employees.
  • Quality of guidance provided.
  • KPIs and targets are SMART and well communicated.

Coordination:

  • Coordinate with the human resources department to ensure adequate linkage between individual and corporate performance. 
  • Effective and timely coordination with HR.

Reports:

  • Report on a monthly (regular) basis on the corporate and departmental performance through the collection of data from all sources and presentation to the management.
  • All reports meet the agreed schedule and provide relevant information for decision making.

Direction of Subordinates:

  • Organize and supervise the activities and work of subordinates by setting individual objectives, managing performance, developing and motivating staff, and providing feedback and appraisal in order to maximize subordinate and departmental performance.
  • Audit of compliance versus procedure and policy.

Continuous Improvement:

  • Contribute to the identification of opportunities for continuous improvement of section systems, processes, and practices while taking into account international best practice, improvement of business processes, cost reduction, and productivity improvement.
